DRIVER AGREEMENT

INTRODUCTION

This Driver Agreement including its Schedules ("Agreement") constitutes a legally binding contract between you and Evio Tech Pty Ltd (ACN 654 310 693) ("HEVO") governing your use of the HEVO Driver App ("Driver App").

KEY DEFINITIONS:

  • "Transportation Services": Point-to-point transportation services you provide
  • "Related Services": Additional services provided in connection with Transportation Services
  • "Services": Transportation Services and Related Services collectively
  • "Passengers": Users of the HEVO rider app requesting your Services
  • "Driver-partner", "you", "your" and "yours": The person using the Driver App
  • "HEVO", "we", "us" and "our": Evio Tech Pty Ltd
  • "Affiliates": Any company or entity controlled by, controlling, or under common control or in a partnership or joint venture with HEVO

ACCEPTANCE AND REGISTRATION:

By applying to be a Driver-partner, you confirm your acceptance of this Agreement and our Privacy Policy available at hevo.app. This Agreement becomes effective when you are registered as a Driver-partner and is binding on both you and HEVO. If you provide Services through your own company, this Agreement will also bind your company.

If you do not agree with these terms, you must not access or use the Driver App.

1. RELATIONSHIP OVERVIEW

1.1 Platform Provider Status: HEVO is a technology platform that connects independent transportation service providers with passengers. HEVO does not provide Transportation Services to Passengers but operates technology applications and platforms with related Support Services (as defined in Section 8.1) to facilitate your provision of Services.

1.2 Service Responsibility: Upon accepting a request for Services, you assume sole responsibility for providing those Services according to the Passenger's request.

1.3 Direct Agreement with Passengers: By accepting a Service request, you enter into a direct agreement with the Passenger as an independent provider. Each accepted request creates a separate agreement between you and that Passenger.

1.4 Independent Operations: HEVO does not have authority to require you to perform Services. Beyond your compliance with this Agreement, HEVO cannot direct or control how you provide Services.

1.5 Scheduling Autonomy: HEVO does not impose obligations regarding when, where, or for how long you must be available to provide Services. Except for safety obligations under HEVO's Fatigue Management Policy (available at hevo.app), these matters remain entirely within your discretion.

1.6 No Agency Relationship: Unless required by law (which would be specified in a policy you must comply with), you agree not to represent to Passengers that you are providing Services for or on behalf of HEVO or its Affiliates.

1.7 Promotional Pricing: To benefit both HEVO and all drivers, HEVO may occasionally offer promotions to Passengers that result in lower payment amounts. When applicable, you agree to provide Services at the promotional rate, and HEVO will reduce its fees by an amount equal to the promotion value.

1.8 Driver Incentives: HEVO may offer incentives to drivers. When applicable, HEVO will reduce its fees by an amount equal to the incentive value.

1.9 Fee Adjustment Mechanism: When the fees available to be reduced are less than the combined value of Promotions and Incentives, HEVO will add the difference to your Payment Fees to ensure you receive the full benefit.

1.10 No Service Guarantees: HEVO makes no guarantees regarding the number of Service requests you will receive under this Agreement.

1.11 Relationship Clarification: You acknowledge and agree that:

(a) This Agreement does not involve you providing services to HEVO

(b) Nothing in this Agreement creates an employer-employee relationship between you and HEVO

(c) Nothing in this Agreement creates a principal-agent, principal-contractor, partnership, trust, or joint venture relationship between you and HEVO

1.12 Indemnification for Relationship Classification: Subject to Section 19.2, you will indemnify HEVO and its Affiliates against reasonable costs, expenses, or liabilities arising from your relationship with HEVO being deemed one of employee and employer, or worker/dependent contractor and principal, resulting from your acts, omissions, negligence, or material breach of this Agreement. This includes, without limitation, matters involving minimum wage, holidays, leave, superannuation, or other employment benefits, except to the extent such costs arise from the relationship being deemed "employee-like" under the Fair Work Act 2009 (Cth) as amended by the Fair Work Legislation Amendment (Closing Loopholes) Bill 2023.

2. REGISTRATION AND ELIGIBILITY

2.1 Required Credentials: You must maintain a valid driver's license and all other required licenses, permits, registrations, approvals and/or authorities needed to provide Services in your jurisdiction. You will provide copies of these documents to HEVO upon request.

2.2 Application Warranties: As part of your Driver-partner application, you warrant that:

(a) All information provided is true, complete, and not misleading, and you will promptly notify HEVO of any changes

(b) You consent to the collection and use of your personal and sensitive information in accordance with this Agreement and HEVO's Privacy Policy

(c) You will provide a high-resolution photo of yourself that is a true image, which you consent to being displayed in your profile and vehicle as required

(d) You are legally entitled to enter into this Agreement, including having appropriate citizenship, residency or visa status

(e) You will only use your registered vehicle for Services, which must meet all applicable Vehicle Standards

(f) Your vehicle will comply with all applicable signage requirements as required by law

2.3 Notification of Changes: You must immediately notify HEVO if any information provided during application changes, including if you cease to hold required licenses, permits, registrations, approvals and/or authorities.

2.4 GST Registration: If operating in Australia, you must register for GST and provide proof of registration and a valid ABN (and company name if applicable). You warrant that you are GST registered and have a valid ABN. You must not use the Driver App without GST registration and a valid ABN, and must notify HEVO immediately in writing if your GST registration or ABN changes.

3. DRIVER ACCOUNT

3.1 Account Issuance: Upon registration as a Driver-partner, you will receive a license to use the Driver App and a driver account ("Account"). Only after this process may you use the Driver App and receive Service requests.

3.2 Account Security: You are responsible for all activity occurring on your Account. You agree not to share your login details or other Account information. You release HEVO from liability for unauthorized Account access resulting from your failure to maintain login security. You must immediately notify HEVO of any unauthorized Account use, and HEVO may take reasonable steps to address such use, including suspending access or temporarily withholding payments during unauthorized use.

4. DRIVER PROGRAMS

4.1 Program Participation: HEVO may offer various short-term and long-term programs for Driver-partners ("Driver Programs"). If you participate, the applicable terms ("Driver Program Terms") will apply. In case of inconsistency between this Agreement and Driver Program Terms, the Driver Program Terms prevail to the extent of that inconsistency.

4.2 Program Fees: Fees payable under a Driver Program will be set out in a separate Fee Schedule made available to you, potentially determined with reference to certain Driver Program Metrics.

5. COMPLIANCE REQUIREMENTS

5.1 Mandatory Compliance: You must comply with:

(a) This Agreement including any separate Fee Schedule

(b) Any conditions imposed as part of your Driver-partner approval

(c) Terms applicable to any Driver Program in which you participate

(d) All applicable laws, regulations, and rules

(e) HEVO's policies and procedures available at hevo.app (including Fatigue Management Policy and Driver Suspension and Disqualification Policy)

(f) Any Service Metrics applicable to you, as notified through the Driver App

5.2 Purpose of Requirements: These compliance requirements help maintain service standards and protect HEVO's reputation, benefiting both HEVO and all drivers.

5.3 Policy Status: While you must comply with HEVO's policies mentioned in Section 5.1 (which may be amended with reasonable notice and where you are not obliged to use the Driver App if you disagree with changes), these policies do not form part of this Agreement or constitute contractual terms with HEVO.

6. CHANGES TO AGREEMENT AND POLICIES

6.1 Change Authority: HEVO may propose:

(a) Changes to Driver Programs, Service Metrics, Driver Program Metrics, and/or policies with at least seven (7) days prior notice if these apply to you

(b) Other changes to this Agreement including Schedules with at least seven (7) days prior notice

6.2 Change Acceptance: Changes take effect on the date specified in the notice or at the end of the notice period, whichever is earlier. Your continued use of the Driver App after this date or selecting a click-and-agree mechanism constitutes acceptance of the changes.

6.3 Right to Terminate: If you disagree with proposed changes, you may terminate this Agreement by deactivating your Account immediately without penalty or notice.

7. DRIVER APP LICENSE

7.1 Intellectual Property: HEVO and/or its Affiliates own or are licensed to use all rights to the Driver App, including content, text, images, trademarks and logos. The Driver Software Use and License Agreement grants you a limited, revocable, royalty-free, non-exclusive, non-transferable, and non-sublicensable license to use the Driver App solely for receiving and fulfilling Service requests. You acknowledge that beyond this express license, you obtain no other rights to the Driver App.

8. SUPPORT SERVICES

8.1 HEVO Support Functions: In addition to providing Driver App access, HEVO (and/or its Affiliates) will:

(a) Act as an intermediary to facilitate Service bookings between you and Passengers

(b) Receive and handle complaints from Passengers and third parties

(c) Act as a limited payment collection agent to:

(i) Offer promotions or discounts to Passengers

(ii) Collect Fares for Transportation Services on your behalf

(iii) Collect additional Fees for Services on your behalf

(iv) Facilitate payment processing through an external payment service provider

(v) Prepare and issue receipts and tax-compliant invoices to Passengers on your behalf(collectively, the "Support Services")

8.2 Service Modifications: HEVO may change, withdraw, vary or add Support Services in accordance with Section 6.

9. EQUIPMENT AND EXPENSES

9.1 Driver-provided Equipment: You are responsible for providing and maintaining, at your expense, all equipment required to provide Services, including a vehicle, mobile device, and wireless data plan.

9.2 Operating Costs: You are responsible for all costs incurred in accepting and fulfilling Service requests, including vehicle operation and maintenance and your mobile device.

10. FREEDOM TO PROVIDE OTHER SERVICES

10.1 No Exclusivity: This Agreement does not prevent you from:

(a) Being employed by or performing services for any entity

(b) Engaging in any income-generating activity

10.2 Multiple Platforms: This Agreement does not prevent you from providing similar services through other ride-sharing or delivery applications.

11. INSURANCE REQUIREMENTS

11.1 Required Insurance: You must comply with all legal insurance obligations at your expense, including compulsory third-party motor vehicle insurance. You must maintain other appropriate policies, including comprehensive motor vehicle insurance with rideshare extension and general liability insurance that satisfy:

(a) Minimum requirements for operating private passenger vehicles in your jurisdiction

(b) Requirements for providing Services under this Agreement

(c) Any other minimum standards HEVO reasonably requires

11.2 Verification: You will provide copies of relevant insurance policies, certificates of currency, or equivalent proof of insurance upon HEVO's request.

11.3 Suspension of Services: If you cease to hold required insurance, you must immediately notify HEVO and stop providing Services through the Driver App.

12. TAX OBLIGATIONS

12.1 Tax Responsibilities: As a Driver-partner, you must:

(a) Complete all tax registration obligations and calculate and remit all tax liabilities related to your Services as required by law

(b) Provide HEVO with requested tax information

12.2 Tax Liability: You are responsible for taxes on your earnings, including income tax and GST. You agree to collect and remit all taxes payable from your Services.

12.3 Regulatory Compliance: HEVO may collect and remit taxes from your Services and/or provide your tax and other information to tax authorities as required by law.

12.4 GST on HEVO Services: Unless otherwise stated, amounts payable to HEVO under this Agreement exclude GST. If GST is payable on HEVO's supply, you agree to pay the GST amount when the consideration is due.

12.5 GST Treatment: For GST purposes, HEVO supplies you with Support Services in consideration for the fees payable under this Agreement. HEVO also provides a Driver App license for no consideration.

12.6 Legal Compliance: You agree to comply with all obligations under applicable laws, regulations, and rules related to your agreement with HEVO.

12.7 Tax Indemnity: Subject to Section 19.12, you indemnify HEVO from reasonable tax liabilities including duties, levies, claims, and penalties arising from your tax obligations or failure to comply with them.

12.8 GST Registration Assumption: HEVO may treat you as GST registered and confirm your ABN/GST details are correct. HEVO accepts no liability for incorrect information you provide regarding ABN or GST registration.

13. PAYMENT STRUCTURE

13.1 Passenger Payment Obligation: Passengers are liable to pay you:

(a) A fare for Transportation Services ("Fare")

13.2 Payment Calculation: The Payment Fee represents the maximum amount a Passenger pays for Services and may include per-kilometer pricing, per-minute charges, booking fees, minimum fees, wait fares, tolls, base fees, Handling Fees, and other passenger charges. The Payment Fee may fluctuate based on market conditions, product offerings, and service demand, and includes applicable GST. The Handling Fee is determined by HEVO at its discretion. You will receive a fee estimate before accepting each booking request, and acceptance constitutes agreement to that estimate.

13.3 Cancellation Policy: HEVO's Cancellation Policy (available at hevo.app) details circumstances where you may receive a cancellation fee when Services are canceled.

14. HEVO FEES

14.1 Service Fees: In consideration for the Support Services, you agree to pay HEVO fees for each accepted Service request.

14.2 Fee Structure: Fees payable to HEVO are outlined in Section 14.3, the applicable Fee Schedule, and/or applicable Driver Program. Unless otherwise specified, fees exclude GST.

14.3 Standard Fees: Unless promotional or alternative arrangements apply, fees payable include:

(a) Confirmation Fee: Equal to any booking fee charged to the Passenger

(b) HEVO Services Fee: As set out in the Fee Schedule

(c) Handling Fee: As determined by HEVO

(d) Any applicable Driver Program Fees

15. PAYMENT PROCESSING

15.1 Payment Collection Authorization: You appoint HEVO as your limited payment collection agent solely to collect Payment Fees from Passengers for your Services.

15.2 Payment Equivalence: You agree that Passenger payments through the Driver App are equivalent to direct payments to you.

15.3 Payment Processing: An external payment servicer ("Payment Servicer") will process payments. Distribution of payments to you is subject to the Payment Servicer's terms and conditions, which will be made available to you.

15.4 Payment Servicer Changes: HEVO may change the Payment Servicer with reasonable notice. You may terminate this Agreement if you do not accept new Payment Servicer terms, but continued Service provision constitutes acceptance of the new Payment Servicer and its terms.

15.5 Information Requirements: You must provide accurate information as requested by HEVO or the Payment Servicer, including personal details, bank account information, and identity verification documents.

15.6 Payment Processing Conditions: If you disagree with Payment Servicer terms or fail to provide required information, the Payment Servicer may not process your payments, preventing your use of the Driver App. HEVO may be unable to make payments without required information.

15.7 Payment Terms Acknowledgment: You acknowledge that:

(a) HEVO is not liable for amounts owed to you if you breach Payment Servicer terms or fail to provide required information

(b) Subject to Section 19.2, you will indemnify HEVO for reasonable costs arising from your material breach of Payment Servicer terms

(c) Your Account may be suspended until you satisfy Payment Servicer requirements or provide requested information

15.8 Offset Rights: If you owe HEVO amounts under this Agreement, HEVO may reasonably withhold such amounts from payments due to you, provided you received adequate prior notice and remain in debt.

15.9 Fraud Prevention: HEVO may withhold payments or suspend payouts if it reasonably suspects unlawful or fraudulent conduct. The Anti-Fraud Policy (available at hevo.app) provides guidance on payment suspension due to fraud or platform manipulation.

15.10 Collection Fees: If your account is in debit, you may be charged incidental collection fees, convenience fees, or other third-party charges as notified to you.

16. SERVICE PROVISION STANDARDS

16.1 Purpose of Warranties: You agree to provide the warranties in this section to protect HEVO's legitimate business interests and reputation, benefiting both HEVO and all Driver-partners.

16.2 General Service Warranties: Each time you accept a Service request, you warrant that:

(a) You have and maintain all required licenses, permits, registrations, certifications, approvals, vehicle documentation, and insurance

(b) You will comply with all traffic and road laws while driving

(c) You will comply with laws relating to Service operations

(d) You will only use your registered vehicle, which meets all Vehicle Standards

(e) You will provide Services with due care, skill, diligence, professionalism, safety, and courtesy, following HEVO's Community Guidelines

(f) You will comply with applicable health and safety requirements

(g) You will not provide Services that violate laws or require credentials you don't possess

(h) You will not operate the Driver App while driving and will only access it when legally and safely possible

(i) You will immediately notify HEVO of vehicle incidents or serious injuries during Service provision

(j) You will comply with Google Maps Navigation API terms

16.3 Transportation Service Warranties: For Transportation Services specifically, you warrant that:

(a) You will provide reasonable assistance to Passengers entering and exiting the vehicle

(b) You will follow Passenger-requested routes unless reasonably justified not to

(c) You will not request payment above the Driver App calculated fare

(d) You will take the most direct, practical, and cost-effective route if none is specified

(e) You will not make unauthorized stops unless requested by the Passenger

(f) You will not smoke or allow smoking (including e-cigarettes) in the vehicle

(g) You will accommodate assistance animals as defined by applicable law

(h) You will not transport anyone other than the Passenger and their guests

16.4 Notification of Warranty Changes: You must immediately notify HEVO and cease providing Services if any warranties in Section 16 become untrue.

16.5 Cancellation Guidelines: HEVO's Cancellation Policy details when you may cancel accepted bookings and the consequences of cancellation.

17. TECHNICAL REQUIREMENTS

17.1 System Prerequisites: To use the Driver App, you must meet the hardware and software requirements and maintain an internet connection with active location services. Mobile devices must have a compatible operating system. HEVO is not liable for issues arising from use on incompatible systems.

17.2 No Compatibility Guarantee: HEVO makes no representation that the Driver App will operate on all devices or function error-free.

17.3 User Responsibility: You are responsible for maintaining your device software and covering mobile data costs incurred while using the Driver App.

17.4 Updates: You may need to download updates or new versions of the Driver App to continue using it.

18. THIRD-PARTY CONTENT

The Driver App may contain links to third-party websites or contact information. These are provided for information only. While HEVO carefully selects linked content, it does not control these sites, which do not constitute endorsements. HEVO makes no representation regarding third-party site availability and is not responsible for the accuracy or content of external websites or advertisements in the Driver App.

19. LIABILITY PROVISIONS

19.1 Service Disclaimer: Subject to this Agreement and applicable law, including consumer guarantees under Australian Consumer Law, HEVO's services are provided "as is" and "as available" without warranty. Your Driver App use is at your own risk.

19.2 Access Responsibility: You are responsible for arrangements to access the Driver App and for activities conducted through your account or internet connection.

19.3 Third-Party Liability: You agree that legal remedies for third-party actions should be directed against those parties, not HEVO. This includes vehicle, property, or personal damage related to your Services. Unless legally prevented, you will not seek remedies from HEVO for third-party acts unless HEVO contributed to the harm. This limitation doesn't apply to claims regarding payment remittance.

19.4 Payment Default: If fees remain outstanding 7 days after notification, HEVO may withhold deposits or payments, or suspend/terminate your Account.

19.5 Liability Limitation: To the maximum extent permitted by law, HEVO is not responsible for personal or financial losses related to this Agreement, Driver App use, or Service provision, unless required by law or resulting directly from HEVO's default, fraud, or dishonesty.

19.6 Consequential Damages: Neither party is liable to the other for incidental, special, exemplary, punitive, indirect, or consequential damages arising from this Agreement, including lost income, business, profits, data, or goodwill.

19.7 Indemnification: Subject to Sections 19.5, 19.6, 19.8, and 19.12, you will indemnify HEVO against reasonable losses from third-party claims connected to your Driver App misuse or Service provision resulting from your acts or omissions within your reasonable control.

19.8 Consumer Guarantees: Nothing in this Agreement excludes rights under Australian Consumer Law. For goods or services supplied under this Agreement, our liability for breaching consumer guarantees is limited (where permitted) to:

(a) Providing equivalent goods/services again; or

(b) Paying the cost of replacement goods/services

19.9 Business Use: If using the Driver App for business purposes, your rights are subject to this Agreement.

19.10 Liability Cap: Subject to Sections 19.6, 19.8, and 19.12, HEVO's maximum aggregate liability for losses related to this Agreement is limited to Payment Fees paid or due to HEVO in the 6 months before the claim event.

19.11 Liability Exclusions: To the extent permitted by law, HEVO assumes no liability for:

(a) Personal injury/property damage related to Services or Driver App use

(b) Driver App transmission interruptions

(c) Content errors or damages from content use

(d) Viruses or malicious code transmitted to the Driver App

(e) Unauthorized access to HEVO's servers or stored information

19.12 Mitigation Duty: Each party must mitigate its losses. Recovery is reduced to the extent a party caused or contributed to the loss or damage.

20. ACCOUNT SUSPENSION AND DISQUALIFICATION

20.1 Suspension Policies: HEVO's Driver Suspension and Disqualification Policy and Anti-Fraud Policy provide guidance on when HEVO may reasonably withhold payments, suspend accounts, or disqualify Driver-partners.

20.2 Suspension Rights: Subject to applicable law, HEVO may withhold payments or limit, suspend, disqualify, or deactivate your Account for reasons in those policies, in this Agreement, for failing to meet Service Metrics, or other reasons consistent with protecting HEVO's reputation and business interests.

20.3 Notification: HEVO will provide notice and reasons when withholding payments or limiting, suspending, or deactivating your Account.

20.4 Termination Option: If HEVO exercises rights under this section, it may also terminate this Agreement in accordance with Section 21.

21. TERM AND TERMINATION

21.1 Agreement Duration: This Agreement begins when accepted and continues until terminated by either party.

21.2 HEVO Termination with Notice: HEVO may terminate with fourteen (14) days prior written notice by deactivating your Account if:

(a) HEVO ceases operations in your jurisdiction

(b) Following Account suspension under Section 20

(c) For other reasonable circumstances protecting HEVO's legitimate business interests

21.3 HEVO Immediate Termination: HEVO may terminate immediately without notice if:

(a) You commit an irremediable breach of this Agreement

(b) You fail to remedy a remediable breach within fourteen (14) days of notification

(c) You become bankrupt or insolvent

(d) Your company(if applicable):

(i) Cannot pay debts when due

(ii) Takes steps toward liquidation

(iii) Has a receiver or similar officer appointed

(iv) Enters arrangements with creditors or makes unauthorized assignments for creditor benefit

21.4 Driver Termination: You may terminate this Agreement anytime by deleting your Account.

21.5 Survival: Payment obligations and Sections 1, 9.2, 10, 12, 14, 15, 18, 19, 21.7, 22, and 23 survive termination.

21.6 Accrued Rights: Termination does not release parties from liabilities already accrued or that may accrue from pre-termination acts or omissions.

21.7 Post-Termination Obligations: Following termination, you must delete the Driver App from all devices.

22. DISPUTE RESOLUTION

If you have a dispute regarding this Agreement, first contact HEVO explaining the issue. HEVO will attempt resolution through negotiation. If the dispute cannot be settled, you agree to work with HEVO to establish an appropriate dispute resolution process. This does not limit rights under this Agreement.

23. GENERAL PROVISIONS

23.1 Assignment: You may not assign this Agreement without HEVO's prior written consent.

23.2 Severability: If any term is invalid or unenforceable, it can be severed without affecting other terms.

23.3 No Waiver: Failure or delay in enforcing terms is not a waiver. Waivers must be in writing.

23.4 Binding Effect: This Agreement binds and benefits successors, permitted assigns, and personal representatives of both parties.

23.5 Non-Exclusive Remedies: No remedy in this Agreement is intended to be exclusive of other available legal remedies.

23.6 Force Majeure: Either party's obligations may be temporarily suspended without liability during force majeure events, provided the affected party makes reasonable efforts to resolve the situation. Force majeure includes unforeseeable events beyond party control that prevent, affect, or delay performance, including acts of God, war, policy changes, pandemics, strikes, computer viruses, and telecommunication service disruptions.

23.7 Governing Law: This Agreement is governed by Western Australia law, with non-exclusive jurisdiction in Western Australia courts and their appellate courts.

23.8 Capacity Confirmation: You represent that you have the right, authority, and capacity to enter this Agreement, understand its provisions, and have had sufficient opportunity to seek advice before agreeing.

REGIONAL SCHEDULES

SCHEDULE 1A: NEW SOUTH WALES REGION SCHEDULE

This Schedule applies if you are a Driver-partner in New South Wales, in addition to your obligations under the main Agreement.

You warrant and agree that:

(a) You will comply with all safety standards under the Point to Point Transport (Taxis and Hire Vehicles) Act 2016 (NSW) and Point to Point Transport (Taxis and Hire Vehicles) Regulation 2017 (NSW), including minimizing and recording potential risks and hazards;

(b) You will comply with all statutory requirements applicable to providing Services in New South Wales;

(c) Your vehicle meets the Vehicle Standards required in New South Wales;

(d) While providing Services, you will display a HEVO sign or other authorized sign according to applicable statutory requirements in New South Wales; and

(e) Your registered vehicle has all required compulsory third party insurance coverage for providing Services as required by New South Wales law.

Important Notification Requirement: You must immediately notify HEVO and cease providing Services if any of these warranties becomes untrue, if any notifiable occurrence happens, or if you are charged with a disqualifying offense as defined in the Point to Point Transport (Taxis and Hire Vehicles) Regulation 2017 (NSW).

SCHEDULE 1B: VICTORIA REGION SCHEDULE

This Schedule applies if you are a Driver-partner in Victoria, in addition to your obligations under the main Agreement.

You warrant and agree that:

(a) You hold all required accreditations and vehicle licenses to provide Services in Victoria;

(b) You will comply with all statutory requirements for providing Transport Services in Victoria, including under the Commercial Passenger Vehicle Industry Act 2017 (Vic) and Commercial Passenger Vehicle Industry Regulations 2018 (Vic);

(c) Your vehicle meets the Vehicle Standards required in Victoria;

(d) While providing Services, you will display a HEVO sign or other authorized sign according to applicable statutory requirements in Victoria; and

(e) Your registered vehicle has all required compulsory third party insurance coverage for providing Services as required by Victorian law.

Important Notification Requirement: You must immediately notify HEVO and cease providing Services if any of these warranties becomes untrue.

SCHEDULE 1C: QUEENSLAND REGION SCHEDULE

This Schedule applies if you are a Driver-partner in Queensland, in addition to your obligations under the main Agreement.

You warrant and agree that:

(a) You hold all required accreditations and vehicle licenses to provide Services in Queensland;

(b) You will comply with all statutory requirements for providing Transport Services in Queensland, including under the Transport Operations (Passenger Transport) Act 1994 (Qld), Transport Operations (Passenger Transport) Regulation 2018 (Qld), and Transport Operations (Passenger Transport) Standard 2010 (Qld);

(c) Your vehicle meets the Vehicle Standards required in Queensland;

(d) While providing Services, you will display a HEVO sign or other authorized sign according to applicable statutory requirements in Queensland; and

(e) Your registered vehicle has all required compulsory third party insurance coverage for providing Services as required by Queensland law.

SCHEDULE 1D: WESTERN AUSTRALIA REGION SCHEDULE

This Schedule applies if you are a Driver-partner in Western Australia, in addition to your obligations under the main Agreement.

You warrant and agree that:

(a) You hold all required accreditations and vehicle licenses to provide Services in Western Australia;

(b) You will comply with all statutory requirements for providing Transport Services in Western Australia, including under the Transport (Road Passenger Services) Act 2018 (WA) and Transport (Road Passenger Services) Regulation 2019 (WA);

(c) Your vehicle meets the Vehicle Standards required in Western Australia;

(d) While providing Services, you will display a HEVO sign or other authorized sign according to applicable statutory requirements in Western Australia; and

(e) Your registered vehicle has all required compulsory third party insurance coverage for providing Services as required by Western Australian law.

Important Notification Requirement: You must immediately notify HEVO and cease providing Services if any of these warranties becomes untrue.

SCHEDULE 1E: SOUTH AUSTRALIA REGION SCHEDULE

This Schedule applies if you are a Driver-partner in South Australia, in addition to your obligations under the main Agreement.

You warrant and agree that:

(a) You hold all required accreditations and vehicle licenses to provide Services in South Australia;

(b) You will comply with all statutory requirements for providing Transport Services in South Australia, including under the Passenger Transport Act 1994 (SA) and Passenger Transport Regulations 2009 (SA);

(c) Your vehicle meets the Vehicle Standards required in South Australia;

(d) While providing Services, you will display a HEVO sign or other authorized sign and any other required signs (including vehicle inspection labels) according to applicable statutory requirements in South Australia; and

(e) Your approved vehicle has all required compulsory third party insurance coverage for providing Services as required by South Australian law.

Important Notification Requirement: You must immediately notify HEVO and cease providing Services if any of these warranties becomes untrue.

SCHEDULE 1F: AUSTRALIAN CAPITAL TERRITORY REGION SCHEDULE

This Schedule applies if you are a Driver-partner in the Australian Capital Territory, in addition to your obligations under the main Agreement.

You warrant and agree that:

(a) You hold all required accreditations and vehicle licenses to provide Services in the Australian Capital Territory;

(b) You will comply with all statutory requirements for providing Transport Services in the Australian Capital Territory, including under the Road Transport (Public Passenger Services) Act 2001 (ACT) and Road Transport (Public Passenger Services) Regulation 2002 (ACT);

(c) Your vehicle meets the Vehicle Standards required in the Australian Capital Territory;

(d) While providing Services, you will display a HEVO sign or other authorized sign according to applicable statutory requirements in the Australian Capital Territory; and

(e) Your approved vehicle has all required compulsory third party insurance coverage for providing Services as required by Australian Capital Territory law.

Important Notification Requirement: You must immediately notify HEVO and cease providing Services if any of these warranties becomes untrue.

GST Registration Requirement: You will comply with your obligation (if applicable) to register for GST under the Goods and Services Tax Act 1985, provide proof of registration, and provide your GST number and company name (if applicable). You warrant your compliance with the Goods and Services Tax Act 1985 and having a valid GST number. If legally obligated but not registered for GST or without a valid current GST number, you must not use the Driver App. You must immediately notify HEVO in writing if your GST registration status or number changes. If required but no longer GST registered, you must not use the Driver App.
